1. Introduction

AXIS is a digital customer engagement, AI, and commerce platform operated under the AXIS brand (the “Platform”). The Platform is owned and managed by Belva Digital LLC, a United States–registered company (EIN: 61-2292665).

The AXIS website and related applications, accessible at https://myaxis.ai and associated subdomains (collectively, the “Site”), are proprietary and copyrighted works of Belva Digital LLC.

By accessing, registering for, or using the Platform, you agree to be bound by these Terms of Use (“Terms”). If you do not agree, you must not access or use the Platform.

2. Scope of the Platform

AXIS is an AI-first, multi-application platform delivered as a unified ecosystem of distinct applications (the “AXIS Apps”). Each AXIS App is a standalone product with its own functionality, while sharing a common platform infrastructure, identity, and administration layer.

As of the effective date of these Terms, AXIS consists of four (4) core applications:

• AXIS Engage – An omnichannel customer engagement and conversational commerce application enabling communication across WhatsApp, Instagram, Facebook Messenger, web chat and SMS, including campaigns, automation, and transactional journeys
• AXIS Workspace – An AI-enabled productivity and collaboration application for teams, including AI workspaces, prompt libraries, knowledge bases, internal assistants, and shared organisational context
• AXIS Learning – An AI-powered learning and enablement application supporting training, upskilling, content delivery, and guided learning experiences
• AXIS Social – A social brand intelligence and content publishing application that enables teams to ideate, generate, plan, and publish content across social platforms using context-aware, African-centric AI.

Each AXIS App may:

• Be licensed separately or bundled, depending on the plan or commercial agreement
• Contain beta, experimental, or early-access features
• Be subject to usage limits, fair-use policies, or third-party platform constraints

Belva Digital LLC reserves the right to add, modify, rename, repackage, or discontinue any AXIS App or feature at its discretion and does not guarantee the continued availability of any specific application, integration, or functionality.

3. Eligibility & Account Responsibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use AXIS.

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Ensuring that users you invite (team members, agents, or administrators) comply with these Terms

You agree to provide accurate and complete information during registration and to keep your account details up to date.

4. License & Access Rights

Subject to your compliance with these Terms, Belva Digital LLC grants you a non-exclusive, non-transferable, revocable, limited license to access and use the Platform for internal business or personal use, as applicable to your plan.

Restrictions

You may not:

• Sell, sublicense, rent, lease, or commercially exploit the Platform except as expressly permitted
• Copy, modify, adapt, reverse engineer, decompile, or attempt to derive source code
• Use the Platform to build, benchmark, or train a competing product or service
• Circumvent usage limits, security controls, or billing mechanisms
• Access the Platform using unauthorized automated tools or scripts

All rights not expressly granted are reserved by Belva Digital LLC.

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time.

5. User Content

“User Content” means any data, text, files, prompts, conversations, media, configurations, or other materials submitted, uploaded, generated, or transmitted through the Platform.

You retain ownership of your User Content. By using AXIS, you grant Belva Digital LLC a limited, non-exclusive license to host, process, analyze, and display User Content solely for the purpose of operating and improving the Platform.

You are solely responsible for:

• The legality and accuracy of your User Content
• Ensuring you have all the necessary rights and consents
• Compliance with applicable data protection and consumer communication laws

We do not monitor User Content proactively and are not responsible for its accuracy or legality.

6. Data Retention & Deletion Policy

To enhance privacy, security, and system performance:

• User-submitted content, chat histories, AI interactions, and related metadata are retained for a maximum of ninety (90) days in live systems
• After this period, data is automatically deleted or anonymized
• Belva Digital LLC does not guarantee backups of User Content

You are responsible for exporting or backing up any content you wish to retain beyond the retention period.

Certain aggregated or anonymized usage data may be retained for analytics, reporting, and product improvement.

7. Acceptable Use Policy

You agree not to use the Platform to:

• Transmit unlawful, fraudulent, misleading, abusive, defamatory, obscene, or harmful content
• Violate intellectual property, privacy, or data protection rights
• Send unsolicited or non-compliant bulk communications
• Impersonate individuals or organizations
• Introduce malware, spam, or malicious code
• Disrupt or degrade the integrity or performance of the Platform

We reserve the right to remove content, restrict functionality, suspend accounts, or terminate access where violations are suspected.

8. Third-Party Services & Integrations

AXIS may integrate with or enable access to third-party platforms, APIs, messaging channels, payment providers, or AI models.

Belva Digital LLC:

• Does not control third-party services
• Is not responsible for their availability, pricing, policies, or data practices
• Does not guarantee uninterrupted access to external platforms

Your use of third-party services is governed by their respective terms and policies.

9. Billing, Plans & Beta Features

Some features of AXIS are offered on a paid subscription or usage-based basis. Fees, limits, and billing cycles are defined in your selected plan or commercial agreement.

Beta or early-access features:

• Are provided “as is”
• May be modified or withdrawn without notice
• May contain errors or limitations

Non-payment may result in restricted functionality or suspension.

10. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Belva Digital LLC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, secure, error-free, or compatible with all devices or third-party services.

11. Limitation of Liability

To the maximum extent permitted by law:

• Belva Digital LLC’s total liability arising from or related to the Platform is limited to USD $50
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• We are not responsible for loss of data, revenue, profits, or business opportunities

Some jurisdictions may not permit certain limitations; in such cases, liability will be limited to the fullest extent permitted by law.

12. Termination

We may suspend or terminate your access to AXIS at any time, with or without notice, if:

• You violate these Terms
• Your use poses legal, security, or operational risk
• Required by law or regulation

Upon termination, your license to use the Platform immediately ends, and access to User Content may be removed.

13. Intellectual Property & Copyright

All Platform technology, branding, interfaces, and documentation are the exclusive property of Belva Digital LLC or its licensors.

If you believe content on the Platform infringes your copyright, submit a notice with sufficient supporting information. False or misleading claims may result in liability.

14. Arbitration & Governing Law

Any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration under the rules of the American Arbitration Association.

You waive the right to:

• Participate in class actions
• Trial by jury

Proceedings will be conducted confidentially. These Terms are governed by the laws of the United States, without regard to conflict-of-law principles.

15. Electronic Communications

By using AXIS, you consent to receive communications electronically, including notices, updates, and legal disclosures. Electronic communications satisfy any legal requirement for written notice.

16. Changes to These Terms

We may update these Terms periodically. Updated versions will be posted on the Site with a revised effective date. Continued use of the Platform constitutes acceptance of the revised Terms.
